Service Terms
Plain-language terms that set expectations for estimates, accepted work, changes, payment, site conditions, and project responsibilities.
1. Scope of Work and Changes
Work is limited to the tasks, quantities, materials, and assumptions stated in the accepted project documents. Anything not specifically included is excluded unless later approved in writing.
- Pricing may rely on visible, accessible conditions and information available when the estimate is prepared.
- Hidden damage, rot, unsafe conditions, existing defects, code issues, concealed wiring or plumbing, or other conditions discovered after work begins may require a revised scope, price, and schedule.
- Client-requested additions or changes must be approved before the added work is performed.
2. Estimates and Pricing
Unless a project document expressly states that a price is fixed, pricing is an estimate based on the information available at the time. Material availability, concealed conditions, owner-requested changes, and other documented changes may affect the final amount.
- Deposits, progress payments, service minimums, trip charges, or material charges apply only when stated in the applicable estimate or invoice.
- Applicable taxes, permit fees, inspection fees, delivery charges, or disposal fees are handled as stated in the project documents or as required by law.
3. Scheduling, Access, and Delays
The client will provide reasonable and safe access to the work area and any utilities or staging space reasonably needed for accepted work. Scheduling may change because of weather, illness, material availability, inspections, hidden conditions, access problems, or other circumstances outside Baseline's reasonable control.
Children, pets, valuables, electronics, and fragile items should be kept clear of active work areas.
4. Client Responsibilities
The client is responsible for providing accurate project information, identifying known hazards or property restrictions, obtaining owner or landlord authorization when applicable, and disclosing relevant HOA, property-line, or access limitations.
Baseline is not responsible for pre-existing defects, concealed conditions, or conditions outside the accepted scope merely because they become visible while work is performed.
5. Permits, Licensing, and Scope Limits
Baseline accepts work only when the scope is legally permissible for the business's current services. If a permit, inspection, separate professional credential, or other authorization is required, responsibility for obtaining it will be addressed before that portion of work proceeds.
Nothing on this website or in these terms represents that Baseline holds a license, credential, or authorization that it does not hold. Baseline may decline, pause, or refer work when the requested scope requires services outside its legally permitted scope.
6. Hazardous or Unsafe Conditions
Unless specifically included in writing, Baseline does not test for or remediate asbestos, lead, mold, regulated contaminants, or other hazardous materials. If suspected hazardous material or an unsafe condition is discovered, work may stop until the condition is evaluated and handled appropriately.
7. Materials and Owner-Furnished Items
Materials supplied by Baseline will be selected as stated in the project documents, subject to availability. Reasonably equivalent substitutions will be discussed when the specified item is unavailable.
If the client supplies materials, fixtures, appliances, or components, the client is responsible for their suitability, completeness, condition, and manufacturer warranty. Additional labor caused by missing, defective, incompatible, or incorrect owner-furnished items may be billable when approved.
8. Payment
Payment timing, deposits, progress billing, and final payment requirements are stated in the applicable estimate or invoice. Amounts due should be paid by the stated due date.
Work may be paused for unpaid amounts that are due. Reasonable collection costs or late charges apply only when stated in the project documents and permitted by applicable law.
9. Workmanship and Manufacturer Warranties
Any specific workmanship warranty will be stated in the accepted project documents. These terms do not create a separate written warranty where none is stated, except for rights or remedies that cannot legally be waived.
Manufacturer warranties, when available, remain subject to the manufacturer's terms. Normal wear, misuse, neglect, alterations by others, owner-furnished material defects, moisture intrusion from unrelated causes, and conditions outside the accepted scope are not Baseline workmanship defects.
10. Existing Conditions and Code-Related Work
Accepted work will be performed using reasonable workmanship practices for the scope undertaken. Baseline is not responsible for upgrading unrelated portions of the property solely because existing conditions do not meet current standards or become visible during the work.
If an inspection, code issue, or existing condition requires additional work outside the accepted scope, that work must be separately evaluated and approved.
11. Photos and Project Documentation
Baseline may photograph work areas, progress, and completed work for documentation, estimating, training, and portfolio or marketing use. Baseline will not intentionally publish a client's street address or personal identity with project photos without permission. A client may request in writing before work begins that project images not be used for marketing.
12. Care of Property and Cleanup
Baseline will use reasonable care around the client's property and will remove ordinary debris generated by the accepted work unless the project documents state otherwise. Construction and repair work can create dust, vibration, noise, and minor disruption even when reasonable protection is used.
Unusually heavy, regulated, hazardous, or pre-existing waste is excluded unless specifically included.
13. Cancellation and Rescheduling
Cancellation, deposit refundability, special-order material charges, restocking fees, or rescheduling charges are governed by the accepted estimate or invoice and applicable law. Amounts already spent on approved materials or completed work remain due unless otherwise required by law.
Baseline may pause or cancel work when site conditions are unsafe, access is unavailable, payment is overdue, the requested work becomes unlawful or outside the accepted scope, or other circumstances make continued work unreasonable.
14. Events Outside Either Party's Control
Neither party is responsible for delay caused by events outside reasonable control, including severe weather, utility interruption, supply disruption, government action, widespread illness, or other comparable events. Project timing will be adjusted reasonably when such events occur.
15. Communication and Electronic Approval
The client may receive estimates, change approvals, invoices, scheduling notices, and other project communications electronically. Electronic acceptance, written email or text approval, payment of a requested deposit, or other documented authorization may be used as evidence of project approval to the extent permitted by law.
16. Privacy
Baseline uses client information to communicate about requested services, prepare estimates, schedule work, process payments, keep business records, and comply with legal obligations. Baseline does not sell client contact information.
17. Disputes and Virginia Law
If a dispute arises, the parties agree to first attempt a good-faith resolution through direct written communication. These terms and accepted project documents are governed by Virginia law, subject to any consumer rights or venue requirements that cannot legally be changed by agreement.
18. Entire Agreement and Severability
The accepted estimate, proposal, work order, invoice, approved changes, and any Service Terms incorporated into those documents make up the agreement for that project. If one provision is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
